COMMERCIAL DISCLAIMER & LIMITATION OF LIABILITY

This Commercial Disclaimer & Limitation of Liability (“Disclaimer”) governs the use of the website caracujapan.com, commercial quotations, inspection documents, and vehicle sourcing services provided by CarAuc Japan LLC, a Wyoming limited liability company having its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, USA (“Company”, “we”, “us”, or “our”).

1. B2B Commercial Scope & Entity Status

CarAuc Japan LLC operates strictly as an independent Business-to-Business (B2B) commercial sourcing contractor, trade brokerage, and international logistics intermediary (NAICS 425120).

We provide structured procurement coordination between verified wholesale Japanese suppliers and international commercial automotive dealerships or corporate fleet buyers. We do not operate a retail consumer dealership, nor do we provide consumer warranties, consumer credit, or retail distance-selling return rights.

2. Vehicle Condition Disclaimer ("As-Is, Where-Is")

All motor vehicles, heavy equipment, and commercial units sourced through Japanese wholesale automotive auctions (including USS, TAA, CAA, JU, ARAI, and dealer partner stocks) are acquired strictly on an “AS-IS, WHERE-IS” basis with all existing mechanical, cosmetic, structural, and electrical faults.

No Warranties: CarAuc Japan LLC makes no express or implied warranties, guarantees, or representations of merchantability, fitness for a particular purpose, or mechanical longevity.
Post-Sale Mechanical Risk: Once a vehicle is won at auction or contracted from a supplier, the Buyer assumes all risk regarding mechanical wear, engine or transmission failure, hybrid/EV battery degradation, electronic component faults, suspension wear, or undisclosed undercarriage surface rust.

3. Third-Party Auction Inspection Sheets & Translations

Inspection sheets, condition grades (e.g., Grade 3.5, 4, 4.5, C, B), and inspector comments displayed on this portal or transmitted to clients are generated independently by third-party Japanese auction houses.

While CarAuc Japan LLC provides translated interpretations of auction sheets in good faith, we do not guarantee or warrant that auction condition reports are exhaustive or error-free.
Translated comments serve as an advisory guideline only and do not replace the Buyer’s independent commercial judgment or risk assessment.

4. Odometer Verification & Title Certificates

Odometer readings are reported as displayed on the vehicle’s instrument cluster and recorded on the official Japanese Export Certificate (Yushutsu Massho Zumi Shomeisho). The Company does not alter, rollback, or modify odometers and relies on official Japanese statutory export documentation for mileage reporting.

5. Maritime Transit, Port Demurrage & Destination Regulations

International ocean freight is executed through independent third-party Roll-on/Roll-off (Ro-Ro) and container shipping lines. CarAuc Japan LLC is not liable for:

Carrier Delays & Force Majeure: Maritime schedule changes, vessel cancellations, port congestion, weather rerouting, acts of state, or labor strikes.
Transit Damage & Loss: Physical cargo damage, saltwater exposure, cosmetic denting, or pilferage occurring while the vehicle is in the custody of inland transporters, Japanese port terminals, or ocean carriers.
Destination Port Charges & Demurrage: Destination terminal handling charges (THC), local port storage fees, demurrage penalties, or customs clearance fees.
Import Regulations & Rejections: Changes to import age limits, emissions standards, pre-shipment inspection mandates, or customs tariffs enacted by the government of the destination port country following the date of purchase. The Buyer is strictly responsible for verifying local import eligibility prior to authorizing a bid.

6. Non-Financial & Non-Escrow Institution Notice

CarAuc Japan LLC is a commercial trade intermediary, not a bank, Money Services Business (MSB), payment facilitator, or licensed escrow agent.

The Company does not provide consumer financial services, banking escrow, or foreign currency exchange brokerage. All inbound wire transfers received by the Company represent commercial payments or sourcing retainers for physical wholesale goods and contracted trade supply chain services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CarAuc Japan LLC, its managing members, officers, or employees be liable for any direct, indirect, incidental, punitive, special, or consequential damages (including loss of prospective business profits, local port demurrage fines, or commercial downtime) arising out of or related to the sourcing, transport, or delivery of vehicles arranged through our services.

In any event, the total aggregate liability of CarAuc Japan LLC for any commercial claim shall not exceed the net service fee earned by the Company on the specific vehicle transaction in dispute.
