These Terms of Commercial Use (“Terms”) govern access to and use of the services, website, and procurement channels operated by **CarAuc Japan LLC**, a Wyoming limited liability company having its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, USA (“Company”, “we”, “us”, or “our”).

1. B2B Commercial Scope Only

All services, quotations, vehicle listings, and procurement coordination provided by the Company are conducted strictly on a **Business-to-Business (B2B)** basis. By accessing this portal or requesting commercial sourcing, you represent that you are acting in a commercial capacity as a licensed motor vehicle dealership, registered commercial importer, or corporate enterprise. Consumer protection statutes, distance selling regulations, and cooling-off periods do not apply to commercial wholesale transactions arranged through the Company.

2. Dual Operational Capacity (Principal and Disclosed Agent)

The Client acknowledges and agrees that the Company operates in a dual commercial capacity:

As Independent Procurement Contractor (Principal):** Issuing direct B2B proforma invoices and coordinating wholesale vehicle procurement, yard processing, and freight booking; or
As Disclosed Commercial Broker / Sourcing Intermediary:** Introducing verified commercial buyers to contracted Japanese export partners, wherein the partner issues the underlying commercial invoice and the Company acts as a disclosed sourcing and inspection manager. The applicable operational capacity is governed by the specific Commercial Proforma Invoice issued for each vehicle transaction.

3. Commercial Quotations & "As-Is" Sourcing

All vehicles sourced through Japanese wholesale automotive auctions (including USS, TAA, CAA, and partner dealer lots) are procured strictly on an **”AS-IS, WHERE-IS”** basis with all faults. Auction inspection sheets and condition reports represent the third-party opinion of the auction inspector at the time of inspection and do not constitute an express or implied warranty by CarAuc Japan LLC regarding mechanical longevity, battery degradation, cosmetic condition, or undisclosed historical defects.

4. Settlement, Invoicing, and Wire Remittance

All commercial transactions must be settled via **International Wire Transfer (SWIFT)** in United States Dollars (USD) or Japanese Yen (JPY). The Buyer is strictly responsible for all originating and intermediary correspondent bank fees (SWIFT Field 71A instruction: “OUR”). The Company does not accept third-party unverified cash deposits or credit card chargebacks. Vehicle procurement and port bookings commence solely upon the receipt of cleared funds in
the Company’s designated institutional bank account.

5. Maritime Delivery & Incoterms

Unless otherwise agreed in a written Proforma Invoice, all international shipments are conducted under **INCOTERMS 2020** (typically CIF – Cost, Insurance, and Freight, or FOB – Free on Board). Title and risk of loss or maritime damage transfer to the Buyer upon the
vehicle passing the ship’s rail or being cleared into the custody of the maritime ocean carrier at the Japanese loading terminal. Destination customs clearance, local port demurrage, import tariffs, and landing charges are the sole responsibility of the Buyer.

6. Governing Law & Dispute Resolution

These Terms and any commercial agreements shall be governed by and construed in accordance with the laws of the **State of Wyoming, United States of America**, without regard to conflict of law principles. Any dispute arising out of or related to commercial transactions shall be resolved via binding commercial arbitration conducted in Sheridan County, Wyoming.

B2B Heavy Equipment & Fleet Sourcing Agency
